Microsoft ActiveSync installation causes STOP 0x0000008E blue screen

I am trying to install ActiveSync (tried with 3.7 and 3.8) an my Windows
XP box and it causes a blue screen upon installation.

This is what the bluescreen says:

*** STOP: 0x0000008E (0xC0000005,0xBFA2B29C,0xB11D3A90,0x00000000)


*** g400dhd.dll - Address BFA2B29C base at BF9E6000, Datestamp 414701b9
----

I cleaned up and reinstalled the drivers for my Matrox card -- tried
with last, Windows approved, and finally directly downloade from
Microsoft, but the problem persists so I cannot sync.

Any help or suggestions will be highly appreciated.

well if you suspect the video driver - in display properties
disable all hardware acceleration, perhaps even set
resolution 800*600.
