- Dual Boot Config with new CPU won't boot with XP SP2 but will boot wth Win98 SE

Recently I attempted to upgrade an AMD XP 266 cpu with a 2700 333 bus
version. on a system running a dual-boot config of both Win98 SE and WinXP
system with a Soyo SY-K7VME motherboard. The motherboard supports the CPU
with the proper jumper setting.
The system boots up in Win98 fine, but restarts itself when attempting to
boot in XP. The same occurs when attempting to boot in Safe Mode.
The Soyo board recognizes the CPU fine, although I ended up updating the
BIOS for the hell of it, but to no avail.
The pc is using one hard drive that's partitioned in half, w/ the C
partition - win98 and the D partition WinXP, although the boot.ini file is
on the C root drive. I used Partition Magic to create the D partition.
When bypassing the GUI screen on WIN XP boot, the last driver listed as
loading is the ' mup.sys ' driver, and then the system is restarted. When I
disable the 'restart' option, I get a blue screen w/ the following message:

STOP: C000021a {fatal system error}
The unhandled exception in session manager system process terminated
unexpectedly with a status of 0XC0000005 (0X7C9301C4 0X0015FB30)
The system has been shut down.

For the hell of it, I renamed the ' mup.sys ' file and copied one from a
system with the same components, but to no avail. I don't really want to
mess with my WINXP configuration if I don't have to, so I decided not to run
the system recovery. In the meantime, I put back the original processor and
WIN XP boots up fine.
Anybody have any clues what is causing the problem ? Any suggestions would
be greatly appreciated.
