I read through several posts that I think addresses this question, but I
wanted to make sure. Will a WinME Upgrade CD qualify me for the upgrade
version?

Yes. I've upgraded half-a-dozen machines from Millennium
(crap) to XP Home or XP Pro. (I don't recommend XP Home.)
