XP home upgrade hangs

Here is the scenario, Compaq 5360 machine with a seagate 10 gig drive, SIS
530 video, ESS sound, 128 meg of ram, fresh Win98SE install.

Eerything go pretty much standard during the upgrade process, when I get to
the
"finalizing installation" 12 minutes left part of the upgrade things seem to
stop
The splash screens still flash by and the indicator on the lower right
corner still is moving, but harddisk activity stops and just sits there doing
nothing.

I've restarted the proccess 4 times with the same result.

What should I go look at?

Youre at very min. in the ram area,increasing would make a world of diffrence.
