Problem BSOD on Windows2000 OK on XP !

I recently bought a nVidia VGA card ( MX440 - AGP8X ) and replaced my
old one (MX440 64MB), under XP everything was ok, but under W2K the
problem is HUGE. I can't boot.
The BLUE SCREEN of death says :
"STOP:c000026c ...
...\system32\drivers\nv4_mini.sys caused error
Error Status: 0xc0000221"
If I disable VGA from SafeMode and enable it again ok, but I can't do
this all the time (thus uninstalling card, then installing, then
disable it ...).
I tried the latest drivers from nVIDIA : Oct 6, 2003 and from Sparkle
52.16 - Oct 6, 2003 and nearly all the older ones from Jul 7, 2002,
also I installed latest VIA4in1 or whatever.

I had GF4MX440 and sometimes I had to reboot my system caused by same
error, but now is fundamental.
I removed ALL previous drivers before I installed the new ones.
I do this proccess every time I am installing new drivers.
I have also XP partition, on which everything is ok.

Uninstall the drivers once again and reinstall the latest motherboard
chipset drivers. Restart the PC. Load the latest drivers for the video
card
from the manufacturer. Restart the PC again. See if all is well. If it
is
still not well ensure the card is well seated, and if necessary reseat
it
again. Ensure your power supply has sufficient wattage. Should this
still
continue to give you the problem then reinstall your Windows 2000 with
the
repair option.

nv4mini is the Nvidia driver. Typically they unpack themselves into a
C:\NVIDIA directory, have you tried booting into safe mode, deleting
the driver directory as well as the card in device manager (and any
ghosts that you find of the card) and then rebooting into normal mode
and installing the driver from CD?

You can try to update mainboard bios and chipset driver,then reinstall
vga driver,if no help,maybe this card is broken,please contact
retailer to repair it.

If you use system afford vga driver under windows xp,it can't enabled
some function,please install vga driver under windows xp then
try.maybe this card have a littil bug.

Installing and unistalling drivers is my only and true job.
But I done it once more and nothing happened.
Remember that on XP PRO everything works fine.
After I had that problem I installed my previous card ( Sparkle
GeForce4 MX440 / 64MB ) but NOTHING changed on Windows 2000 CRASHED on
XP OK.
I'm sure that Win2000 SP4 can't rellocate memory at startup or
nVidia's driver has bugs, so that is the problem. I have too many
programs installed on my pc so installation is the last that I 'll do.
Previous installations on Win2000 SP1 worked well, but when upgrated
to SP3 or SP4 had problems - uninstalling SP3 or SP4 worked well
again.
Maybe is the VIA4in1 ?
I'm stacked.
