- dcpromo - unable to promo a W2k3 server to a DC

I am using a an enterprise domain administrator account to
dcpromo a
windows 2003 server to a domain controller and getting the
following error:
The operation failed because: The Active Directory
Installation Wizard was unable to convert the computer
account XYZ$ to a domain controller account. "Access is
denied."
Any help is appreciated.

Sam,
Are you setting up this DC in the Forest Root Domain or a child domain ?
If a child domain use a Domain Administrator account, not a member of the
Enterprise Administrators group

I am setting up this server as a child domain, and I
have tried using both the domain administrator and
enterprise administer for dcpromo process. I am getting
the error in either case.
