I am transfering my windows 98 system to a new
motherboard, which has a Celeron 2.4GHz
I keep getting the error "While initializing device NDIS:
Windows protection error"
Apparently I need a new version of NDIS.VXD, can anyone
help?

As the article says, you need to contact Microsoft Product Support Services
to obtain the update. There should be no charge if you don't ask for
anything else. Be sure to mention the article number:

There are known issues with CPU's faster than 2.2GHz, contact
Microsoft and ask for the patch.
