It sould work, so long as the SQL 2005 install works OK, but you would be better buying an upgrade from SP2 to SBS R2, as I expect this will be cheaper. I am not total sure how the licence would work...

When I convert a Campaign response to an Opportunity it is already 'created'. This means that the create callout has already fired, before the user can enter information it requires (so it fails)....
