- how to cluster/missor 2 windows 2003 servers ?

I have one server with windows 2003 server premier edition, 3 drives with
raid 5. I also have exchage installed on it too.
I just bought another server with raid 5. There is no operating system on
it yet.
I want to configure new server in such a way that it keeps the same
copy/mirror of my main server and whenever my main server crash, new server
should take over.
I am trying to avoid down time in case my server crash.
I would really appreciate if someone please suggest me the best option.
I am new to windows 2003 so please give me some good instructions.

Keep in mind license requirements, such as a second Exchange license.
Also, Exchnage isn't the easiest to cluster. Might look at third
party products such as Vinca.
