Replacing NT4 Domain Server with a 2003 AD Server

I am planning on getting a new Windows 2003 Domain Server to replace our NT4
Domain Server. What is the procedure I need to do in order to setup the 2003
server, and migrate all the domain settings to it from the NT4 Server? Once
the migration is complete I plan to then take the NT4 server offline.

It looks like I have the option of upgrading over the top of NT4 to Server
2003 and the domain will stay intact (theoretically).

Or I have the option of using the ADMTv2 tool to migrate the objects from
the NT4 domain to an New 2003 AD Domain.

The Upgrade over the top is an option if necessary but I hate doing upgrades
over the top as I would prefer a clean install.

If I were to use the ADMT tool it looks to me like I would need to have an
AD Forest already setup and configured. The problem with this is that the
Domain name would need to be different. I was looking for a solution that
would allow all options of the NT4 domain to migrate over including the
Domain name. I'll continue to scan through the technet site but do you know
of any other options?
