I use windows server 2003 and Exchange 2003. Seversl times a day, the email
stops flowing and the Terminal Services stops all outside access. We are
constantly re -starting the server and it will work for a while and then quit
again. Is there anything I can do to fix this?

Check Event Viewer for errors.
