- Upgrade w2k server/Exchange 5.5 to w2003 server/exchange 2003

Situation: old failing server to be replaced with bright shiny new one. The
server is a stand alone unit and its replacement will be a direct
replacement of a stand alone server.
The new server will have MS SBS 2003 and Exchange 2003 installed, same
number of licenses as old unit.
I have read loads about migrating users/mailboxes etc but they all relate to
having both servers online. I cannot do this so am looking for ways to
save/restore the AD entries and Exchange mailboxes from the old to the new.
Is this do-able? Can any kind soul point me to some info on this subject?
